Date: Tue, 6 Jul 2004 22:08:54 -0700 From: Al Petrofsky To: Subject: Ralph Yarro's directorship of TrollTech Hello, As I'm sure you have heard, the actions since May of last year of a U.S. corporation called "The SCO Group" (which last year changed its name from "Caldera Systems") have caused an uproar in the Linux community. Under the chairmanship of Ralph Yarro, SCO has sued AutoZone for copyright infringement over its use of Linux, and made written threats to file similar suits against hundreds of other corporations, without ever specifying exactly what code it is whose copyrights are allegedly being infringed and exactly what parts of Linux it is whose copying is alleged to infringe those copyrights. It is reported in biographies of Mr. Yarro at ViaWest and Power Innovations that he is a director of TrollTech. I would appreciate more information about this connection. Specifically: - How much, if any, stock of SCO or Canopy Group does TrollTech own? - Is Ralph Yarro a director of TrollTech AS? - If not, when was he last a director, if ever? - If he is a director: - When did the shareholders last elect him to that position? - When does his current term expire? - According to TrollTech's by-laws and any other binding obligations, what proportion of the ownership would be required to remove Mr. Yarro from the board before the expiration of his term? That is, could the owners of a simple majority of TrollTech's stock effect such an action? Or would a 75% majority be required, or something else?
